Confidentiality
All client information, business operations, strategies, and any other proprietary or sensitive materials will remain strictly confidential and such information will not be disclosed to any third
party except as necessary to perform the services agreed upon or in accordance with the laws of British Columbia, Canada. Notwithstanding the foregoing, Laina McPhee is permitted to disclose the existence of the working relationship with the client during and after the term of any signed agreements for purposes of portfolio, marketing, or professional reference.
Fees & Invoicing
By signing a service agreement, the client acknowledges and agrees that the final cost of services may be subject to reasonable change based on adjustments to project scope, complexity, or timelines. Any significant changes to cost will be communicated and must be approved in writing before work proceeds. An invoice will be issued upon completion of all services. Payment is due per the invoice due date.
Delays & Liability
Delays in providing required feedback or approvals that result in late delivery of digital files or services will not be deemed the fault of Laina McPhee.
Neither party within any signed agreement shall be liable for indirect or consequential damages arising out of the agreement, except in cases of gross negligence or willful misconduct.
Laina McPhee agrees to provide services per the client’s direction but makes no guarantees as to specific outcomes, such as increased revenue or recognition.
Ownership
All rights, title, and interest in the final completed design files will transfer to the client upon full payment. The client may use the final work without restriction.
Designer's Use of Files
Laina McPhee retains the right to use any and all project files for future purposes, including portfolio, marketing, and self-promotion, except that any designs or design elements that are reasonably recognizable and specifically created for the client shall not be used for other clients without prior written consent.
